Terms of Service

1. Acceptance of Terms

By accessing and using Offload Media's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service. These Terms of Service govern your use of our website and video editing services.

2. Service Description

Offload Media provides professional video editing services including but not limited to:

• Video editing and post-production
• Thumbnail design and creation
• Content strategy and consultation
• Audio enhancement and sound design
• Color correction and visual effects

3. Service Plans and Pricing

Per Video Plan

• Pricing: $50 base fee + $15 per final video minute
• Includes: Professional editing, 2 rounds of revisions, free thumbnail design
• Delivery: 12 to 72 hour delivery timeframe (not guaranteed)

Monthly Club Plans

• Long-form only: $2,500/month for up to 15 long-form videos
• Include short-form: $3,500/month for up to 15 long-form + 20 short-form videos
• Includes: Unlimited revisions, multiple projects, personal account manager
• Billing: Monthly subscription processed through Stripe

All pricing is subject to change with notice. Current pricing is available on our website.

4. Payment Terms

• All payments are processed upfront through Stripe
• Monthly subscriptions are automatically billed on the same date each month
• Prices are in USD and include all applicable taxes
• Payment is required before work begins on any project
• Failed payments may result in service suspension

5. Project Timeline and Delivery

While we provide estimated delivery timeframes, these are not guarantees. Actual delivery times depend on:

• Project complexity and length
• Quality of source material provided
• Current workload and queue position
• Number and complexity of revision requests

Clients agree to specific project timelines with their Offload representative before work begins. These agreed timelines take precedence over general estimates.

6. Revisions and Changes

Per Video Plan

Includes 2 rounds of revisions. Additional revisions may incur extra charges.

Monthly Club Plans

Includes unlimited revisions until client satisfaction.

Major scope changes or complete re-edits may be considered new projects and subject to additional charges.

7. Content and File Ownership

• Clients retain full ownership of all source materials and final deliverables
• Offload Media retains no rights to client content after project completion
• Clients are responsible for ensuring they have rights to all materials provided
• Clients grant Offload Media temporary rights to edit and process materials for service delivery
• Project files and source materials may be deleted after a reasonable retention period

8. Client Responsibilities

Clients agree to:

• Provide source materials in acceptable formats and quality
• Ensure all content is legal and does not violate third-party rights
• Provide clear project instructions and feedback
• Respond to communications in a timely manner
• Make payments as agreed
• Not request content that violates platform terms of service

9. Prohibited Content

We reserve the right to refuse service for content that includes:

• Illegal activities or content
• Hate speech, harassment, or discriminatory content
• Adult or sexually explicit material
• Violence or harmful activities
• Copyright or trademark infringement
• Spam or misleading content

10. Cancellation and Termination

Client Cancellation

• Monthly subscriptions can be cancelled through Stripe at any time
• Cancellation takes effect at the end of the current billing period
• No cancellation fees apply
• Work in progress at time of cancellation will be completed

Service Termination

We reserve the right to terminate service for violation of these terms, non-payment, or inappropriate behavior.

11. Limitation of Liability

Offload Media's liability is limited to the amount paid for the specific service. We are not liable for indirect, incidental, or consequential damages including lost profits, revenue, or data. Our services are provided "as is" without warranties of any kind.

12. Indemnification

Clients agree to indemnify and hold harmless Offload Media from any claims, damages, or expenses arising from their use of our services or content provided to us.

13. Governing Law

These terms are governed by the laws of the Commonwealth of Massachusetts. Any disputes will be resolved in the appropriate courts of Massachusetts.

14. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes acceptance of the new terms.
